Frequently asked questions
For foreign-owned companies in Poland
Which companies in Poland must have their financial statements audited?
All joint-stock companies (S.A.), as well as other entities, including limited liability companies (sp. z o.o.) owned by foreign groups, that in the preceding financial year exceeded two of the three thresholds set out in Article 64 of the Polish Accounting Act: average employment, total assets and net revenue. Consolidated financial statements of capital groups are also subject to audit. If you are unsure whether the requirement applies to you, we will check free of charge.
What are the deadlines?
Financial statements must be prepared within three months of the year end and approved within six months, and then filed with the National Court Register within 15 days of approval. The audit firm is appointed by the body that approves the statements, usually the shareholders' meeting. It is best to sign the engagement before the year end, so that the auditor can attend the stocktake.
Can the audit report be in English?
The statutory financial statements and the auditor's report filed in Poland must be in Polish. On request we provide an English version of the auditor's report for your parent company and group auditors, and we are happy to correspond with management in English.
